Article 1: Applicability and Binding Force

These General Terms and Conditions (hereinafter "Terms') constitute a complete, binding legal agreement between you (the "User') and Wíssel Kapita. By accessing https://wisselkapita.org, registering an account, or using our services, you expressly, unconditionally, and without reservation agree to these terms. Wíssel Kapita reserves the right to unilaterally amend these terms at any time; continued use implies acceptance of the revised terms.

Article 2: Nature of Services (Execution-Only)

Wíssel Kapita provides an advanced technical infrastructure for market data aggregation and analytical visualization.

No Financial or Legal Advice: Wíssel Kapita acts solely as an independent technology provider. We do not offer any investment advice, asset management, tax, or legal advice. All data and signals provided are purely indicative and educational in nature.
Full Autonomy: Any financial decision or market transaction executed by the User based on information obtained through the Platform is made entirely voluntarily and falls under the exclusive responsibility and risk of the User.

Article 3: Legal Risk Warning

The User expressly declares to understand the following fundamental market risks:

Extreme Volatility

Financial markets and digital assets are subject to unpredictable, abrupt, and extreme price fluctuations.

Risk of Capital Loss

Trading or investment always carries a significant risk of partial or complete loss of invested capital.

No Performance Guarantees

Historical datasets, backtests, and algorithmic probabilities offer no guarantee for future returns.

Article 4: Intellectual Property and Strict Usage Restrictions

The entire infrastructure of Wíssel Kapita, including all proprietary data models, source codes, graphical interfaces (UI/UX), texts, and logos, is the exclusive, inalienable property of Wíssel Kapita. Under penalty of civil and criminal prosecution, it is strictly forbidden to:

Subject our systems or algorithms to reverse engineering, decompilation, or disassembly.
Deploy automated extraction tools (such as scrapers, crawlers, or bots) for mass harvesting of platform data.
Misuse the platform for any form of money laundering, market manipulation, or other illegal activities.

Article 5: Limitation of Liability and Force Majeure

To the extent legally permitted under mandatory Dutch law, Wíssel Kapita is in no way liable for direct, indirect, incidental, or consequential damages (including but not limited to loss of profit or data loss) resulting from:

Technical malfunctions, API latency, unplanned downtime, or errors in third-party data feeds.
Force majeure events (Article 6:75 Dutch Civil Code), including but not limited to large-scale cyberattacks (DDoS), telecommunications network failures, acts of war, or government intervention.

Article 6: Indemnification Clause

The User undertakes to fully indemnify and hold harmless Wíssel Kapita, its directors, employees, and partners for all claims, lawsuits, fines, losses, and legal costs (including reasonable attorney fees) directly or indirectly resulting from a breach of these Terms by the User.

Article 7: Applicable Law and Exclusive Jurisdiction

This agreement shall be exclusively governed by and interpreted in accordance with Dutch law. Any dispute arising from or in connection with these Terms, which cannot be resolved amicably within sixty (60) days, shall be submitted to the exclusive jurisdiction of the competent courts in the district of Amsterdam, Netherlands.
